Terms of Service (Alpha Transitional)

1. What Atomi is
Atomi is a marketplace for verified AI tools and digital services. Atomi is an intermediary platform — it is not the buyer or seller in any transaction. During the alpha, Atomi also holds funds in custody and conducts platform dispute review (see §4–§6), and the obligations arising from those roles are described below. "Verified" means that Atomi has performed a limited review under its then-current process, which may include checking the listing description, sample, delivery format, risk signals, and prohibited-content indicators. Verification does not mean Atomi guarantees profitability, suitability, legal compliance, security, or error-free performance.
2. Eligibility & restricted jurisdictions
You must be of legal age and capacity in your jurisdiction. The overseas service involves crypto-assets; you may use it only where lawful for you. The service is NOT offered to, and may not be used by, persons who are residents of, located in, or accessing from a Restricted Jurisdiction, which includes: (a) mainland China; (b) any country or territory subject to comprehensive sanctions (e.g. UN / US OFAC / EU); and (c) any jurisdiction where use of crypto-assets or this service is prohibited. You represent that you are not a sanctioned person and do not act on behalf of one. Before initiating a transaction you must confirm that you are not in a Restricted Jurisdiction, are not a sanctioned person, and that your use of Atomi complies with the laws applicable to you. (Restricted list is provisional, pending legal finalization.)
3. Accounts
You are responsible for activity under your account and must safeguard your login credentials and wallet. Atomi does not custody your wallet private keys.
4. Funds & custody (alpha)
- In the current alpha, Atomi operates a CUSTODIAL model under controlled payments. On an overseas order, the buyer transfers USDC (currently Polygon network only) into Atomi's 2-of-3 multisig treasury. Funds are held in that multisig treasury from deposit until released or refunded under this agreement. Controlled-phase per-order and total custody limits apply; current limits are as published in-app. Licensed custody and legal review are in progress before broader public scaling.
- Fund handling & segregation: Atomi does not use user transaction funds for its own purposes; the 12% platform service fee is deducted when an order is credited and is accounted for separately in the platform ledger. The treasury is a 2-of-3 multisig; any outbound release requires approval from at least two signers. You acknowledge that during the alpha, custody and compliance controls are still being strengthened and operational and security risks remain.
- Release: after the buyer confirms delivery, or after the applicable auto-release window elapses without a valid dispute, the order amount is credited to the creator's in-app balance (the 12% platform fee is deducted at credit; the creator receives 88%). Credited funds are subject to a maturity period based on the creator's trust tier (up to 7 days for new creators); once matured, the creator may request a withdrawal, which is released from the multisig treasury after human review. Atomi will use reasonable efforts to process releases promptly but does not commit to a fixed release timeline.
- Roadmap (v0.2, not yet live): the overseas service plans to migrate to an on-chain non-custodial escrow contract; that contract is not enabled today. Any "non-custodial" wording will be added only when it actually goes live.
5. Identity, AML & sanctions
To operate a custodial crypto service responsibly, Atomi may require identity verification (KYC), monitor activity, screen against sanctions lists, and freeze, withhold, report, or decline transactions where required by applicable law or where fraud, money laundering, sanctions, or prohibited conduct is reasonably suspected.
6. Disputes
In a dispute, Atomi conducts a platform dispute review based on the listing description, order records, delivery records, messages, and evidence submitted by both parties. During the alpha custody period, Atomi executes release or refund according to the result of that review and the platform rules. Except for the platform service fee expressly disclosed on the order page and in these terms, Atomi does not assign buyer-seller transaction principal to itself.
7. Refunds
Refunds are governed by the Refund Policy, which forms part of these terms.
8. AI models, BYOK & third-party providers
Some tools may require you to provide your own API key or credentials for a third-party model or service ("BYOK"). You are responsible for your relationship with that third-party provider, including applicable fees, usage limits, terms, and compliance obligations. Atomi does not guarantee the availability, pricing, output quality, or continued operation of any third-party model or service, which may change, suspend, deprecate, or terminate at any time. Where you choose a model tier lower than the creator's recommended tier and confirm the downgrade disclosure, failures or lower-quality results caused by that lower tier may not qualify for refund.
9. Risk disclosure
Use of the service involves crypto-assets. You acknowledge and accept: price volatility; on-chain transactions are irreversible; reliance on the platform's custody during the alpha; network / gas fees; self-custody wallet risk. Stablecoins may depeg, be frozen, blacklisted, delayed, or otherwise affected by issuers, networks, wallets, bridges, or applicable laws; transfers to wrong addresses or wrong networks may be unrecoverable. AI-generated outputs may be inaccurate, incomplete, biased, unsafe, or unsuitable for your intended use — you are responsible for reviewing and validating any output before relying on it, especially for professional, legal, financial, medical, safety, or business-critical use. Atomi does not provide investment or financial advice. The regulatory characterization of the alpha custody model is being assessed with counsel and may, in some jurisdictions, fall under money-transmission, payment, or virtual-asset-service regulation; Atomi is working toward compliance.
10. Prohibited conduct
Prohibited conduct includes, without limitation: going off-platform to collect payment or to evade platform delivery records and dispute handling; fraud; money laundering; uploading illegal or infringing content; content that harms minors; malware, credential theft, unauthorized data scraping, privacy violations, impersonation, deceptive deepfakes, spam or bulk harassment; circumvention of third-party platform restrictions; weapons; prohibited financial or investment activities, automatic-trading or profit guarantees; sanctions evasion; and abuse of BYOK credentials. Violations may result in suspension, delisting, and evidence retention.
11. Account suspension, termination & funds
Atomi may suspend or terminate an account for breach, legal requirement, or platform wind-down. If an account is suspended/terminated or the platform ceases operation, custodied funds will be returned to the party entitled to them under the platform rules and applicable law — and will never be assigned to the platform.
12. Taxes
You are responsible for any taxes, duties, reporting obligations, or filings arising from your transactions, receipts, payouts, or use of the service.
13. Limitation of liability
To the maximum extent permitted by applicable law, Atomi's liability for transaction outcomes is limited to its verification / matching / alpha custody-release service; Atomi is not liable for performance disputes between creators and buyers, or for indirect or consequential losses.
14. Governing law & disputes (user ↔ platform)
The operating entity, governing law, and dispute-resolution venue may be updated as Atomi completes entity formation and legal review. Material updates will be disclosed in-app.
15. Changes
Alpha terms may change (especially when the v0.2 funds model migrates); material changes will be announced in-app.
